End User License Agreement

Effective Date: May 26, 2026

This End User License Agreement ("EULA") is a binding legal agreement between you ("Licensee", "User") and SPIKE Options LLC ("Licensor", "SPIKE"). This EULA governs your utilization of the Oculus AI strategy builder, the SPIKE automated routing software, and all associated dashboards, APIs, and documentation (collectively, the "Software").

By registering for an account, accessing the dashboard, or deploying algorithmic logic through our systems, you agree to be bound by the terms of this EULA. If you do not agree, you are prohibited from utilizing the Software.

1. License Grant

Subject to your continuous compliance with this EULA and the timely payment of all applicable monthly platform subscription fees, SPIKE grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Oculus builder and the SPIKE execution layer solely for automated personal or authorized institutional quantitative trading.

This license is provided on a Software-as-a-Service (SaaS) basis. You are not granted any rights to download, host, or possess the executable code or source code of the Software.

2. Proprietary Architecture Protections

The Oculus strategy building framework, logic generation models, pattern compiling trees, code-free parsing scripts, and SPIKE trade routing engines are the exclusive intellectual property and trade secrets of SPIKE Options LLC.

You are strictly prohibited from:

  • Copying, decompiling, reverse-engineering, disassembling, or attempting to derive the source code of any component within the SPIKE ecosystem.
  • Using the Software to develop a competing product, service, or algorithmic trading platform.
  • Renting, leasing, sublicensing, or providing unauthorized third parties access to your licensed seat.

3. Strategy Ownership and Distribution

Any quantitative logic, options parameter sets, or stock-based strategy rules built exclusively by you inside the Oculus environment remain your conceptual intellectual property. SPIKE does not claim ownership over your specific trading logic.

However, the deployment of these strategies to live capital remains subject to the seat restrictions, concurrent symbol limits, and token frameworks detailed in your active billing configuration. You may not use the Software to operate a managed fund or trade on behalf of others unless you hold a specific Institutional/Enterprise license granting such rights.

4. Third-Party API Interfacing

The SPIKE execution layer requires integration with third-party brokerage APIs to function. This EULA does not grant you any rights to those third-party services. You are solely responsible for maintaining your brokerage accounts in good standing, securing your API keys, and complying with all End User License Agreements and Terms of Service mandated by your chosen brokerage.

5. Telemetry and System Diagnostics

To ensure the stability, latency optimization, and security of the institutional execution layer, SPIKE reserves the right to collect anonymized telemetry data regarding software usage. This includes, but is not limited to, API response times, Oculus compilation errors, and routing latency metrics. This data is utilized strictly for system improvement and load balancing.

6. Updates, Modifications, and Tokens

SPIKE reserves the right to push automated updates, patches, and modifications to the Software at any time without prior notice. These updates may alter the user interface, introduce new features, or patch security vulnerabilities.

Furthermore, SPIKE retains the right to modify the computational cost (Oculus Tokens) associated with specific AI rendering functions, backtesting simulations, or execution pathways as the platform evolves.

7. Term and Termination

This EULA remains in effect as long as you maintain an active, paid subscription to the SPIKE platform. SPIKE may terminate or suspend your license immediately, without prior notice or liability, if you breach any terms of this EULA or the associated Terms of Service.

Upon termination, your right to use the Oculus builder and SPIKE routing engine will immediately cease, and all active automated logic loops will be forcefully halted.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPIKE EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SPIKE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, THAT EXECUTION ROUTING WILL BE UNINTERRUPTED, OR THAT THE OCULUS AI BUILDER WILL GENERATE PROFITABLE TRADING STRATEGIES. ALGORITHMIC TRADING INVOLVES EXTREME FINANCIAL RISK, AND YOU ASSUME ALL RESPONSIBILITY FOR THE OUTCOMES OF YOUR DEPLOYED SOFTWARE CONFIGURATIONS.
