Official Legal Notice

This Official Legal Notice serves as the foundational corporate disclosure for all users, affiliates, and integrated partners operating within the SPIKE ecosystem. It supplements our Terms of Service, Privacy Policy, and End User License Agreement (EULA).

1. Corporate Identity and Operations

The SPIKE platform, the Oculus strategy building application, the high-speed execution routing layers, and all related technical systems are wholly owned and operated by SPIKE Options LLC, operating under the umbrella of SPIKE Technology Group Inc. and Forefront Solutions Inc.

All corporate rights, international trademarks, logos, service marks, platform UI/UX designs, and underlying computational patent protections are explicitly reserved. Unauthorized use, reproduction, or redistribution of our intellectual property is strictly prohibited and will be prosecuted to the maximum extent of the law.

2. Jurisdictional Grounding and Venue

These platform guidelines, agreements, and all corporate relationships established through the use of our Service are governed strictly by the laws of the State of Delaware, United States, without regard to its conflict of law principles or provisions.

You agree that any formal litigation, dispute, or legal proceeding regarding the services provided by SPIKE must be filed exclusively in the state or federal courts located in Wilmington, Delaware. By using the platform, you hereby consent and submit to the personal and exclusive jurisdiction of such courts, expressly waiving any right to a jury trial.

3. Severability Elements

If any court of competent jurisdiction finds a specific provision, clause, or restriction within our platform terms (including the TOS, EULA, and this Legal Notice) to be unlawful, invalid, or unenforceable, that specific clause will be modified by the court to the minimum extent necessary to render it valid and enforceable.

If modification is not possible, the invalid clause will be entirely severed from the remaining agreements. The removal or modification of a single clause will not impact the validity, legality, or enforceability of any other section or provision within our corporate terms.

4. Export Compliance and Sanctions

Because the SPIKE platform utilizes advanced routing infrastructure and highly secure AES-256 cryptographic tunneling, the Software is subject to export control laws and regulations of the United States. You represent and warrant that you are not located in, under the control of, or a national/resident of any country subject to a U.S. Government embargo.

Furthermore, you warrant that you are not listed on any U.S. Government list of prohibited or restricted parties (including the OFAC Specially Designated Nationals List). You agree not to export, re-export, or transfer the SPIKE software or platform access in violation of any U.S. or international export laws.

5. No Waiver of Rights

The failure or delay of SPIKE Options LLC to exercise or enforce any right, power, or privilege under our agreements shall not operate as a waiver of such rights. A single or partial exercise of any right or remedy does not preclude any other or further exercise of that right or the exercise of any other right or remedy provided by law or equity.

6. Entire Agreement Integration

This Legal Notice, in conjunction with our published Terms of Service, Privacy Policy, and EULA, constitutes the entire and exclusive understanding and agreement between SPIKE and you regarding the platform. These documents supersede and replace any and all prior oral or written understandings, proposals, or agreements between us regarding the Service.
